The present terms and conditions are concluded between on the one hand, LUXOTTICA S.R.L., a limited-liability company whose sole shareholder is Luxottica Group S.p.A., subject to direction and coordination by the latter, having its registered office in Agordo (Italy), 10 Via Valcozzena, share capital of € 10,000,000.00, fully paid in, VAT registration, Italian tax code, and registration number in the Belluno Business Registry 00064820251, and disclosed to other companies belonging to the Luxottica Group (the “Luxottica Group”), and on the other hand, an internet user who wishes to benefit from the services described in the present terms and conditions (hereafter called the "User"). 1 - The service. The basic service: Luxottica Group offers a virtual fitting service for accessories and modelled products such as glasses, on line via its Ray-Ban.com Internet site based on the video of the face of a model or the User's own video provided by themselves (hereafter called the "Basic service"). 2 - Access to the service The Service is reserved exclusively to physical persons for personal and strictly non-commercial use. In consequence, the User guarantees that they fall under this category. Access to the Basic Service is free and does not require registration. The user must download the software FIT3DLive, acquaint and respect the license of use of the software FIT3DLive and in particular check technical requirements mentioned in Appendix. 3 - Limits to the service The Service enables the User to gain an idea about the accessories or products modelled (such as glasses). Luxottica Group does not guarantee the compliance of the accessory or product modelled with the actual accessory or product or their suitability to the User's requirements, neither that the appearance of the accessory or product modelled, as viewed via the Service, shall be identical or similar to the actual appearance. 4 - Conditions for using the service The relations between the User and Luxottica Group are governed by the present terms and conditions. 5 - Price of the service The Service is offered and provided free of charge. 6 - Role and general obligations of Luxottica Group Luxottica Group undertakes to provide the Service in compliance with the present terms and conditions and guarantees that: The Service shall be provided 24 hours per day, 7 days per week subject to contingencies (technical malfunction, act of another, force majeure, virus, etc.) or maintenance operations carried out on the Luxottica Group site or on the Service. Luxottica Group reserves the right, of course, to stop providing the service at any time and can refuse or withdraw access to the service by a User who does not obey any one of the provisions of the present terms and conditions. 7 - Role and general obligations of The User a) The User declares that they will not submit to The Service any item whose nature, content or characteristics could, in even the slightest degree, be contrary to French law or any foreign law to which they may be subject, to public order and good morals, or be a threat to the security and interests of France or any other State. The User shall ensure in particular that the information they provide and that the said item - does not contravene the rights of others, the rights of the author, the rights of the brands or more generally any intellectual or industrial property rights held by a third party; - does not under any circumstances contravene regulations in force relating to the respect of private life and the protection of personal data; - does not include items or content of a pornographic, paedophilic, defamatory or injurious, obscene, seditious, violent, blasphemous or negationist nature or which is liable to incite racial hatred, commitment of an offence, a crime or act of terrorism or which apologizes for war crimes or crimes against humanity, or which is liable to incite an individual to commit suicide; - does not have the effect of reducing, disorganizing or preventing the use of all or part of the Service (virus, Trojans, etc.). The user guarantees Luxottica Group against any third party claim which could result from a violation of their rights or any other prejudice affecting them. b) If the user is a minor, they must have authorization from their parents to use the Service; this commitment is essential and determining. c) The User undertakes to use The Service only for personal and non-professional use. The User fully guarantees Luxottica Group that this is so. d) Generally, the User guarantees Luxottica Group that the use of the Service will be fully compliant with regulations in force and as such guarantees Luxottica Group against any dispute or third party action arising from its illicit use. 8 - Data of a personal nature Luxottica Group declares that the User's personal data is handled in compliance with the provisions of law 78-17 of 6th January 1978, and in particular that: - data of a personal nature is only gathered from the User themselves or with their explicit consent; - data of a personal nature is only gathered or processed as required for the provision and management of the Service except for the User's consent; Right of access: The User may be sent their personal data. This must comply with the content provided at registration. A copy may be sent to the User making the request on payment of a fee determined by the regulations.Right of correction: the User can have personal data which is inaccurate or obsolete corrected, updated or deleted. In compliance with the regulations and policy of Luxottica Group, the express agreement of the User is obtained when gathering and maintaining personal data which may be directly or indirectly related to health issues due to the use of the Service (for example the wearing of corrective spectacles). Luxottica Group guarantees that the User's data will not be processed in any other way or divulged to any unauthorized third parties. 9 - Ownership All the components of the Luxottica Group site (including the components of the Service) whether visual or audio including the underlying technology are protected by law (copyright, brand names or patents). They are the exclusive property of Luxottica Group or the third party who has conceded all or parts of the rights to Luxottica Group in order to provide the Service. The User does not acquire any rights to these components and is prohibited from reproducing, representing or imitating them in any way or on any medium whatsoever. 10 - Responsibility Luxottica Group or the User may be held liable for any proven breach in any of the obligations mentioned in the present terms and conditions within one (1) year of the breach occurring. The accessories offered by Luxottica Group for the requirements of the Service are done so with the agreement of the persons owning the rights to these accessories (manufacturer, brand, distributor, etc.). These persons may in no way be held liable under the Service or for the accessories offered via the Service. 11 - Duration and cancellation The present terms and conditions apply throughout the period the Service offered by Luxottica Group is available on-line. In the event of a breach committed by the User, Luxottica Group may terminate the Service without warning or formal notice. This cancellation shall take place without prejudice to the damages which could be claimed by Luxottica Group from the User or their rights to redress due to losses sustained by said breaches. The User is informed that they have seven clear days counting from their registration with the Service to exercise their right to retraction without penalty or reason. However, the right of retraction may no longer be exercised after the User has used the service, such use demonstrating their renunciation of their right of retraction. 12 - General provisions a)If one or more stipulations of the presents are held to be invalid or null by a law or regulation or are declared as such by a final decision of a competent jurisdiction, the other stipulations maintain their strength and importance. b)The fact of one of the Parties not taking advantage of a breach by the other Party of one of their obligations cannot be interpreted for the future as an abnegation of the obligation in question. c)The present terms and conditions are subject to French law. WITH THE EXCEPTION OF LEGAL PROVISIONS TO THE CONTRARY, IF A DISPUTE ARISES CONCERNING THE EXECUTION OR INTERPRETATION OF THE PRESENTS AND AFTER FAILURE TO FIND AN AMICABLE SOLUTION, EXPRESS COMPETENCE IS ASSIGNED TO THE COMPETENT COURTS OF TOULOUSE NOTWITHSTANDING THE PLURALITY OF THE DEFENDENTS OR THE INTRODUCTION OF THIRD PARTIES, EVEN FOR EMERGENCY OR PROTECTIVE PROCEDURES, BY INJUNCTION OR BY APPLICATION. Luxottica Group reserves the right, of course, to stop providing the service at any time and can refuse or withdraw access to the service by a User who does not obey any one of the provisions of the present terms and conditions. 7 - Role and general obligations of The User a) The User declares that they will not submit to The Service any item whose nature, content or characteristics could, in even the slightest degree, be contrary to French law or any foreign law to which they may be subject, to public order and good morals, or be a threat to the security and interests of France or any other State. The User shall ensure in particular that the information they provide and that the said item - does not contravene the rights of others, the rights of the author, the rights of the brands or more generally any intellectual or industrial property rights held by a third party; - does not under any circumstances contravene regulations in force relating to the respect of private life and the protection of personal data; - does not include items or content of a pornographic, paedophilic, defamatory or injurious, obscene, seditious, violent, blasphemous or negationist nature or which is liable to incite racial hatred, commitment of an offence, a crime or act of terrorism or which apologizes for war crimes or crimes against humanity, or which is liable to incite an individual to commit suicide; - does not have the effect of reducing, disorganizing or preventing the use of all or part of the Service (virus, Trojans, etc.). The user guarantees Luxottica Group against any third party claim which could result from a violation of their rights or any other prejudice affecting them. b) If the user is a minor, they must have authorization from their parents to use the Service; this commitment is essential and determining. c) The User undertakes to use The Service only for personal and non-professional use.
